Terms of Service

These terms are an agreement between you and Computer Agent Labs, Inc. (“Okibi,” “we,” “us”) governing your use of okibi.ai and the Okibi CLI (the “Service”). By creating an account or using the Service, you agree to them. If you use the Service on behalf of a company, you represent that you can bind that company, and “you” means the company.

The Service

Okibi generates command-line tools and related artifacts (such as documentation) from repositories and specifications you provide, using automated pipelines that include AI models.

Accounts

You sign in with GitHub and are responsible for activity under your account and for the accuracy of information you provide. You must be at least 16 and old enough to form a binding contract where you live.

Your content

You retain all rights to the code and content you provide. You grant us a limited license to host, process, and transmit it solely to provide the Service, including processing by the third-party AI providers we use to run generations. You are responsible for having the rights to the repositories you connect. How we handle your code (including that we do not retain your source and do not train models on it) is described in our Privacy Policy.

Generated output

As between you and us, you own the CLIs and other artifacts Okibi generates for you. Output is produced by automated AI pipelines from your inputs: you are responsible for reviewing it before relying on it, and similar inputs may produce similar outputs for other customers.

Acceptable use

Don’t misuse the Service. Among other things, you agree not to: break the law or infringe others’ rights with it; connect repositories you don’t have rights to; probe, disrupt, or overload the Service or its infrastructure; attempt to access other customers’ data; resell the Service without our agreement; or use output to develop a competing code-generation service. We may throttle or suspend use that harms the Service or other customers.

Plans, billing, and cancellation

Paid plans bill in advance on a subscription basis (monthly or annual) and renew automatically until cancelled. You can cancel any time, effective at the end of the current billing period; except where required by law, fees are non-refundable. We may change pricing with notice; changes take effect at your next renewal. Usage limits (such as included generations) reset per billing cycle and don’t roll over.

Our IP

The Service itself (including the Okibi software, generation pipelines, and branding) belongs to us and our licensors. These terms don’t grant you rights to it beyond using the Service. If you send us feedback, we may use it without obligation.

Third-party services

The Service interoperates with third parties you choose to connect, notably GitHub, under their own terms. We aren’t responsible for third-party services.

Disclaimers

THE SERVICE AND ALL GENERATED OUTPUT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT GENERATED CODE IS CORRECT, SECURE, OR FIT FOR ANY PURPOSE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND OUR TOTAL LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR US $100 IF YOU PAID NOTHING). THESE LIMITS DON’T APPLY WHERE PROHIBITED BY LAW.

Indemnity

If you use the Service in violation of these terms, including connecting code you had no rights to, you’ll defend and indemnify us against third-party claims arising from that use.

Termination

You may stop using the Service at any time; to delete your account, email us at hello@okibi.ai and we’ll remove it. We may suspend or terminate accounts that violate these terms, with notice where practicable. Sections that by their nature should survive (ownership, disclaimers, liability limits) survive termination.

Governing law and disputes

These terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in California, and both parties consent to their jurisdiction.

Changes

We may update these terms; for material changes we’ll give notice (e.g., email or in-product) before they take effect. Continuing to use the Service after they do means you accept them.
